1. Acceptance of Terms

By accessing the website of Uni Local SEO and engaging our services, you (the “Client”) agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you are prohibited from using our services or accessing our website. These terms govern all services provided by Uni Local SEO, including but not limited to Web Development, Local SEO, Technical SEO, AI Search Optimization (GEO/AEO), and Paid Advertising.

2. Scope of Services and Deliverables

Uni Local SEO operates as a full-stack web development and digital marketing agency.

  • Project Agreements: All services, specific deliverables, timelines, and pricing will be outlined in a separate, customized proposal, invoice, or Service Level Agreement (SLA) provided to the Client.

  • Service Modifications: We reserve the right to modify or discontinue, temporarily or permanently, any service with reasonable notice to the Client.

  • Algorithmic Changes: The Client acknowledges that search engine algorithms (Google, Bing, AI-driven platforms) are subject to constant updates. While we employ industry-leading, data-driven strategies to maximize revenue and growth, UniLocalSEO does not guarantee specific search rankings, instantaneous traffic surges, or exact sales figures.

3. Client Obligations and Cooperation

For Uni Local SEO to effectively execute digital strategies, the Client agrees to provide timely cooperation, which includes:

  • Asset Access: Granting secure access to essential platforms such as website CMS, CPanel/hosting, Google Analytics, Google Search Console, Google Business Profile, and ad accounts.

  • Content and Approvals: Providing necessary brand assets (logos, images, specific copywriting) and prompt feedback or approvals during web development or campaign planning phases.

  • Delays: UniLocalSEO will not be held responsible for project delays, missed milestones, or performance drops resulting from the Client’s failure to provide requested assets or feedback in a timely manner.

4. Payment Terms, Retainers, and Refunds

  • Billing: Web development projects generally require a non-refundable upfront deposit (as detailed in the project proposal), with the remaining balance due upon completion. Ongoing marketing and SEO services are billed as monthly retainers, payable in advance.

  • Late Payments: Invoices are due upon receipt unless otherwise stated. Failure to clear invoices within the stipulated time may result in the temporary suspension of campaigns or development work until the account is settled.

  • Refund Policy: Due to the intangible nature of digital marketing, consulting, and custom web development, all sales are final. We do not offer refunds for hours worked, services rendered, or setups completed.

5. Intellectual Property (IP) Rights

  • Agency Materials: All proprietary methods, SEO strategies, pre-existing codes, and templates utilized by Uni Local SEO remain the exclusive intellectual property of the agency.

  • Client Ownership: Upon full and final payment for web development or design projects, the Client is granted full ownership rights to the final website, custom graphics, and published content created specifically for their project.

  • Website Content: The Client is strictly prohibited from copying, reproducing, or republishing the text, graphics, or structure of unilocalseo.com without prior written consent.

6. Confidentiality and Data Protection

Both parties agree to hold all confidential information, business data, and strategic insights shared during the partnership in strict confidence. Uni Local SEO will not disclose your sensitive business metrics, trade secrets, or client lists to any third party, except as required by law or to trusted contractors working under strict Non-Disclosure Agreements (NDAs).

7. Limitation of Liability

To the maximum extent permitted by applicable law, Uni Local SEO and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data loss, business interruptions, or ranking penalties caused by third-party actions, user errors, or unexpected search engine algorithm updates.

8. Indemnification

The Client agrees to defend, indemnify, and hold harmless Uni Local SEO and its employees from any claims, damages, liabilities, and expenses (including legal fees) arising from the Client’s use of our services, violation of these Terms, or infringement of any third-party intellectual property by materials provided by the Client.

9. Termination of Services

  • By the Client: Monthly retainers can be canceled by providing a written notice of at least 30 days prior to the next billing cycle.

  • By the Agency: Uni Local SEO reserves the right to terminate an agreement immediately if the Client violates these Terms, engages in unethical business practices, or fails to fulfill payment obligations.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Uni Local SEO is registered. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in that region.
